Terms of Service

1. Acceptance
By accessing or using IntakeAI ("Service"), you ("Firm") agree to these Terms. If you do not agree, do not use the Service. These Terms govern the relationship between IntakeAI and the subscribing law firm only.
2. Description of service
IntakeAI provides an AI-powered telephone intake system that answers inbound calls, collects caller information, and syncs lead data to connected CRM platforms (Clio, MyCase) and calendar systems (Google Calendar, Microsoft Calendar).
IntakeAI provides technology tools only. IntakeAI does not provide legal advice, legal representation, or legal services of any kind. The subscribing firm is solely responsible for all legal services provided to its clients.
3. Firm responsibilities
- The Firm is responsible for ensuring its use of IntakeAI complies with all applicable bar rules, rules of professional conduct, and ethics obligations in its jurisdiction.
- The Firm must inform callers that they are interacting with an AI system, as required by applicable law and bar rules.
- The Firm is responsible for reviewing AI-collected intake information for accuracy before relying on it for legal decisions.
- The Firm must not use IntakeAI for any unlawful purpose or in violation of any applicable regulation.
4. Service availability
IntakeAI targets 99.5% monthly uptime for the intake telephony service. Planned maintenance will be announced at least 24 hours in advance via email. Unplanned outages will be communicated within 2 hours of detection.
Uptime does not include downtime caused by: (a) Twilio, AssemblyAI, or other third-party providers; (b) acts outside our reasonable control; (c) scheduled maintenance windows.
5. Data ownership
The Firm owns all lead data, call transcripts, and client information collected through the Service. IntakeAI is a data processor acting on the Firm's instructions. We do not claim any ownership over the Firm's data.
IntakeAI retains anonymized, aggregated operational metrics (call volumes, response times) for service improvement. These metrics contain no personally identifiable information.
6. Fees and payment
Subscription fees are billed monthly in advance. Overages (call minutes, SMS messages) are billed in arrears. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement.
IntakeAI reserves the right to suspend service for accounts 30+ days past due, with 5 business days' notice.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTAKEAI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THREE (3) MONTHS OF FEES PAID BY THE FIRM IN THE 12 MONTHS PRECEDING THE CLAIM.
INTAKEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST CASES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Indemnification
The Firm agrees to indemnify and hold harmless IntakeAI from any claims, damages, or expenses arising from: (a) the Firm's use of the Service; (b) the Firm's violation of these Terms or applicable law; (c) legal services provided by the Firm to its clients.
9. Termination
Either party may terminate the subscription with 30 days' written notice. IntakeAI may terminate immediately for material breach, non-payment, or illegal use.
Upon termination, we will provide the Firm with a data export within 14 days. Firm data will be deleted from our systems within 30 days of termination.
10. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Disputes shall be resolved in the courts of Morris County, New Jersey.
11. Changes to these terms
We will notify the Firm of material changes to these Terms at least 30 days before they take effect via email. Continued use after the effective date constitutes acceptance of the updated Terms.
